Hearst Media Services, State of Connecticut Notice of Public Hearing State of Connecticut Health and Educational Facilities Authority Revenue Bonds Masonicare 2016 Issue Notice is hereby given that a public hearing will be held by the State of Connecticut Health and Educational Facilities Authority (the "Authority"), on Monday, September 19, 2016 commencing at 10:00 a.m., at the office of the Authority, 10 Columbus Boulevard, 7th Floor, Hartford, Connecticut 06106, for the purpose of providing a reasonable opportunity for interested individuals to express their views, either orally or in writing, on the issuance of the above-captioned bonds (the "Bonds") and the nature of the improvements and projects described below. The Authority has been requested to make available proceeds from the sale of the Bonds to be issued in one or more series in an aggregate principal amount not exceeding $130,000,000 for the purpose of making a loan to Masonicare Corporation, Masonicare Health Center, The Masonic Charity Foundation of Connecticut, Inc., Masonicare at Ashlar Village, Inc., Masonicare at Newtown, Inc. and Masonicare Home Health and Hospice, Inc. (collectively, the "Obligated Group"), each of which is a nonprofit institution duly existing under the laws of the State of Connecticut, the mailing address of which is 22 Masonic Avenue, Wallingford, Connecticut, 06492, to provide moneys for one or more of the following: The loan will provide moneys for the purposes of financing, refinancing and reimbursing the Obligated Group for the costs of (1) the refunding of all or a portion of the outstanding amount of the Authority's Revenue Bonds, Masonicare Issue, Series C (the "Series C Bonds"); (2) the refunding of all or a portion of the outstanding amount of the Authority's Revenue Bonds, Masonicare Issue, Series E (the "Series E Bonds"); (3) funding miscellaneous construction, renovation, improvements, information technology hardware, software and software licensing agreements, equipment and furniture acquisition and installation at the Obligated Group's facilities; (4) funding one or more debt service reserve funds for the Bonds, if needed, (5) paying capitalized interest with respect to the Bonds; and (6) paying costs of issuance, credit enhancement fees, if any, and other financing costs with respect to the Bonds. The Series C Bonds were issued to provide a loan to the Obligated Group, the proceeds of which were used to provide moneys for the purposes of (1) financing a portion of the costs of expansion of, and/or the renovations to the facilities of (a) Ashlar Village, a continuing care retirement community located at Cheshire Road, Wallingford, Connecticut, including the construction, renovation and/or equipping of: (i) an approximately 30,000 square foot Activity Center for seniors, known or to be known as the Hartog Activities Center; (ii) approximately 78 new or replacement residential living units, known or to be known as Notch Hill; and (iii) miscellaneous other capital improvements, renovations and modifications to the facilities of Ashlar Village, and (b) miscellaneous capital improvements, renovations and modifications to the facilities of Masonic Health Center, located at 22 Masonic Avenue, Wallingford, Connecticut; (2) currently refunding all of the outstanding amount of the Authority's Revenue Bonds, Masonicare Issue, Series A (the "Series A Bonds"); (3) advance refunding all of the outstanding amount of the Authority's Revenue Bonds, Masonicare Issue, Series B (the "Series B Bonds"); (4) paying capitalized interest with respect to the Series C Bonds; (5) funding the fees for a letter of credit provided by Wachovia Bank, National Association; and (6) paying costs of issuance and credit enhancement fees with respect to the Series C Bonds. The Series A Bonds were issued to provide a loan to the Masonicare Corporation, Masonic Geriatric Healthcare Center and Ashlar Village, Inc. (the "Prior Obligated Group"), the proceeds of which were used to provide moneys for the purposes of (1) advance refunding and defeasing all or a portion of the outstanding Connecticut Development Authority Health Facilities Revenue Bonds (The Masonic Charity Foundation of Connecticut Ashlar Village Project 1990 Series) (the "1990 Series Bonds"); and (2) financing all or a portion of (a) the renovation, replacement and expansion of approximately 42 units for senior rental apartments (known as the Well Apartments), located at 22 Masonic Avenue, Wallingford, Connecticut; (b) the construction of a three-story, approximately 59,000 square foot, building containing approximately 62 assisted living residential units for the elderly, located at 22 Masonic Avenue, Wallingford, Connecticut; (c) the construction of approximately 70,000 square foot home for the aged (to be known as the Leslie G. Wright Building), located at 22 Masonic Avenue, Wallingford, Connecticut; (d) certain other capital expenditures for improvements and/or equipment related to the foregoing or related to providing health and social services for the elderly; and (e) such other financing costs as are more particularly described in the Series A Loan Agreement. The 1990 Series Bonds were issued to provide a loan to The Masonic Charity Foundation of Connecticut, the proceeds of which were used to provide moneys for the purposes of financing and refinancing improvements at Ashlar Village. The Series B Bonds were issued to provide a loan to the Masonicare Corporation and Ashlar of Newtown, Inc., the proceeds of which were used to provide moneys for the purposes of (1) developing an assisted living community for the elderly (to be known as Lockwood Lodge), located at 139 Toddy Hill Road, Newtown, Connecticut, consisting of (a) the construction of a three-floor, approximately 45,500 square foot, building containing 48 living units, common areas and support space; (b) the construction of a two-story, approximately 1,800 square foot, building which connects said living units with an existing skilled nursing facility (known as Ashlar of Newtown); (c) the renovation and expansion of the foregoing skilled nursing facility to adjust for the impact of the assisted living units; and (d) the installation of a septic system and other land improvements; (2) certain other capital expenditures for improvements and/or equipment related to the foregoing or related to provide health and social services for the elderly; and (3) such other financing costs as are more particularly described in the Series B Loan Agreement. The Series E Bonds were issued to provide a loan to the Obligated Group, the proceeds of which were used to provide moneys for the purposes of (1) currently refunding all of the outstanding amount of the Authority's Variable Rate Demand Revenue Bonds, Masonicare Issue, Series D (the "Series D Bonds"); and (2) paying the costs of issuance of the Series D Bonds. The Series D Bonds were issued to provide a loan to the Obligated Group, the proceeds of which were used to provide moneys for the purposes of (1) financing a portion of the costs of the expansion of, and/or the renovations to the facilities of (a) Ashlar Village, a continuing care retirement community located at 74 Cheshire Road, Wallingford, Connecticut, including the construction, renovation and/or equipping of (i) 40 new free-standing residential independent living units known as the Villas; (ii) approximately 75 new assisted living units, known or to be known as Pond Ridge; and (iii) miscellaneous other capital improvements, renovations and modifications to the facilities at Ashlar Village; and (b) miscellaneous capital improvements, renovations and modifications to the facilities of Masonicare Health Center; (2) funding capitalized interest on the Series D Bonds; and (3) paying the cost of issuance and fees for letter of credit on the Series D Bonds. The facilities financed and refinanced with the proceeds of the Bonds are or will be owned and/or operated by the Obligated Group, the mailing address of which is 22 Masonic Avenue, Wallingford, Connecticut 06492. Interested members of the public are invited to attend. Persons desiring to make a brief statement regarding the foregoing projects should give prior notice in writing to the Authority at the address shown below at least 24 hours prior to the hearing.
